Platform & Digital Tools Terms of Use

1. Scope & Applicability

These Platform & Digital Tools Terms of Use ("Platform Terms") govern all access to and use of the Brush OS software platform, Craftsman Painter websites, AI/SMS/voice estimating assistants, 3D LiDAR spatial room-twin calculators, digital paint color visualizers, and Craftsman Painter Academy training modules operated by Craftsman Painter, Inc. ("Company", "we", or "us").

For residential or commercial painting customers, physical project execution, workmanship standards, and warranties are governed by your signed Scope of Work and the Customer Terms of Service. For independent trade operators, B2B network participation is further governed by the Collective & Master Contractor Agreement.

2. Platform Intellectual Property & Input Rights

• Exclusive Platform & Model Ownership: Craftsman Painter, Inc. retains sole and exclusive ownership of all right, title, and interest in and to the Brush OS software platform, source code, proprietary production-rate matrices, pricing formulas, automated treasury/split architectures, 3D spatial processing pipelines, agentic system prompts and workflows, Craftsman Painter Academy curriculum, trademarks, and all platform-generated estimating templates and structures.
• User Inputs & Processing License: Users retain ownership of their pre-existing photos, videos, and contact details ("User Inputs"), and grant Craftsman Painter, Inc. a worldwide, royalty-free license to host, process, analyze, and transmit such inputs through its enterprise cloud and AI systems to deliver platform services, digital visualizations, and project proposals.
• User Input Warranty: You represent and warrant that you own or hold all necessary rights, permissions, and consents for any photos, videos, 3D spatial scans, audio, or text submitted to Brush OS or its AI agents, and that your inputs do not infringe any third-party intellectual property, privacy, or proprietary rights.

3. Generative & Agentic AI Disclaimers

• Probabilistic Nature of AI Outputs: Brush OS utilizes generative artificial intelligence and autonomous/semi-autonomous agentic systems (including SMS/voice assistants, automated instant estimators, 3D LiDAR dimension calculators, and digital color visualizers). All AI-generated outputs, calculations, and recommendations are probabilistic in nature and are provided strictly "AS IS" and "AS AVAILABLE" without warranty of any kind.
• Human-in-the-Loop Verification Required: Automated or agentic outputs do not constitute binding contractual offers, professional architectural/engineering advice, or guaranteed pricing. Human-in-the-loop verification and a formally executed written Scope of Work or Change Order are required before any pricing, scope, or financial settlement becomes binding.

4. Acceptable Use & Agentic AI Restrictions

In alignment with the Google Cloud Acceptable Use Policy, Generative AI Prohibited Use Policy, and Google Cloud Agentic AI Responsible Use Guidelines (effective October 12, 2026), you may not (and may not permit any third party or automated agent to):

1. Submit unlawful, infringing, fraudulent, defamatory, or harmful content to any Brush OS interface or AI agent;
2. Attempt prompt injection, jailbreaking, adversarial manipulation, or unauthorized tool execution against any Craftsman Painter AI agent or automated workflow;
3. Scrape, spider, reverse-engineer, decompile, or extract proprietary pricing formulas, production-rate matrices, or source code from the platform; or
4. Use any output, pricing matrix, Academy content, or data from Brush OS to train, fine-tune, or benchmark any competing software product or machine-learning model.

5. Delayed-Authorization Payments & Immediate Termination

• Delayed-Authorization (ACH) Suspension Rights: If a user, customer, or operator uses a delayed-authorization form of payment (such as ACH bank transfer, eCheck, or deferred settlement) and Craftsman Painter, Inc. determines that the transaction poses a risk of non-payment, insufficient funds, return, or reversal, Craftsman Painter, Inc. may immediately suspend platform access, scheduled services, or settlement distributions until cleared funds are verified.
• Immediate Termination for Incurable Breach: Craftsman Painter, Inc. may suspend or terminate platform access and any associated agreement immediately upon notice and without a cure period if a user or operator commits a breach that Craftsman Painter, Inc. determines is incapable of being cured, including any violation of Section 2 (Intellectual Property), Section 4 (Acceptable Use & Agentic AI Restrictions), payment fraud, or security compromise.

6. Flow-Down Indemnification & Limitation of Liability

• User & Operator Indemnification: You agree to defend, indemnify, and hold harmless Craftsman Painter, Inc., its officers, directors, affiliates, independent operators, and upstream cloud and artificial intelligence infrastructure providers from and against any third-party claims, liabilities, damages, regulatory fines, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) any User Inputs, media, or data you submit that infringe third-party intellectual property, privacy, or publicity rights; or (b) any violation by you (or any automated agent acting on your behalf) of Section 4 (Acceptable Use & Agentic AI Restrictions) or applicable law.
• Limitation of Liability & Governing Law: To the maximum extent permitted by law, Craftsman Painter, Inc. and its upstream infrastructure providers shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or relating to your use of the Brush OS platform or any AI/agentic tool. Governing law for platform disputes shall be the laws of the State of Indiana.
