Independent Sales Agent Agreement

This Sales Agent Agreement ("Agreement") governs the relationship between Craftsman Painter, Inc. ("Company," "we," "us," or "our") and you, the sales agent ("Agent" or "you").

By submitting a sales lead or by generating a proposal on our behalf, you agree to be bound by all terms and conditions of this Agreement.

1. Purpose & Defined Roles

This Agreement authorizes you to act as an independent sales agent for the Company. You may earn commissions by performing two distinct activities:

• "Lead Generation": This involves marketing and referring a new potential customer ("Lead") to the Company. A Lead is considered valid only if it is submitted through our official process and is not a duplicate or existing Company contact.
• "Sales Activity": This involves actively managing the full sales cycle. This includes acting as the primary customer contact, conducting site visits, using Company tools to build a comprehensive proposal (covering both labor and material specifications), presenting the "Total Contract Price" to the customer, and securing the customer's signature on the Company's official contract.

2. Sales Process and Authority

• Lead Submission & Attribution: You must submit all Leads through the official Company channel (e.g., CRM portal or web form) to be eligible for commission.
  • Website Referrals: If you direct a potential customer to the Company website to fill out a form, you must register that lead in our system (e.g., via your Agent Portal or email to the Company) prior to or within 24 hours of their submission.
  • Unclaimed Leads: Any web inquiry received without clear attribution (e.g., the customer did not list your name) or prior registration by you will be classified as a "Company-Generated Lead" by default.
  Proposal Generation: You are authorized to use the Company's official software, pricing data, and proposal templates to generate and present Total Contract Price proposals to customers. You agree to use these tools to accurately estimate the full scope of the project, including necessary surface preparation, labor, and materials.
• No Independent Authority: You have no authority to:
  
  1. Bind Craftsman Painter, Inc. to any contract or agreement outside of the official provided templates.
  2. Sign a contract on the Company's behalf (the customer signs; you facilitate).
  3. Modify the Company's standardized pricing, profit margins, or legal Terms of Service without express written approval
• The Contract: All sales are final only when a customer signs the official Company contract, which is exclusively between Craftsman Painter, Inc. and the customer. You are acting as a facilitator of this transaction.

3. Commission and Payment

The "Total Contract Price" is defined as the total dollar amount presented to and paid by the customer for the project, including both labor and materials, but excluding any collected sales tax. All sales commissions are calculated on the "Total Contract Price."

We offer a total sales commission of twenty percent (20%) of the Total Contract Price. This commission is split based on the roles performed:

• Lead Generation Commission (15%): You will earn fifteen percent (15%) of the Total Contract Price for successfully performing Lead Generation for a project that is sold, completed, and paid for.
• Sales Activity Commission (5%): You will earn five percent (5%) of the Total Contract Price for successfully performing the Sales Activity for a project that is sold, completed, and paid for.

Commission Scenarios:

• You do both: If you perform both Lead Generation and Sales Activity for the same project, you will earn the full twenty percent (20%) commission on the Total Contract Price.
• You only find the Lead: If you perform Lead Generation, but a different person (e.g., an internal sales rep or another Agent) performs the Sales Activity, you will earn the fifteen percent (15%) Lead Generation commission on the Total Contract Price.
• You only make the Sale: If a Lead is given to you (e.g., from a web inquiry or another Agent), and you perform the Sales Activity, you will earn the five percent (5%) Sales Activity commission on the Total Contract Price.

Commission on Upsells (Change Orders): If you successfully generate and secure a customer-signed Change Order for additional work, you will earn five percent (5%) of the total value of that Change Order (excluding sales tax). This is consistent with the Sales Activity commission rate.

Payment:A commission is "earned" only after the project (or Change Order) is 100% completed and the customer has paid their final invoice in full to the Company. We will pay all earned commissions on a monthly basis.

4. Independent Contractor Status

You are an independent contractor, not an employee, partner, or agent of the Company.

• This status is critical. You control your own schedule, your own methods of sale, and your own business expenses.
• You are not required to attend mandatory sales meetings or work specific hours.
• You have no authority to bind the Company beyond the specific sales facilitation outlined in Section 2.
• You are solely responsible for paying all your own taxes on any commissions earned.

5. Limited Brand License for Sales

We grant you a limited, non-exclusive, non-transferable license to use the "Craftsman Painter" name, logos, and marketing materials ("Brand Assets") for the sole and express purpose of performing Lead Generation and Sales Activity under this Agreement.

• You may represent yourself using titles such as "Sales Manager," "Paint Rep," "Business Development Manager," "Color Designer," or "Project Consultant" when actively engaging in sales or lead generation for Craftsman Painter, Inc.
• You may use the Brand Assets on business cards, email signatures (using a Company-provided system, if available), and marketing materials, provided they are pre-approved by the Company or purchased from the Company.
• You may not use the Brand Assets to market any other business, on your personal website, or in any way that implies you are Craftsman Painter, Inc.
• This license terminates immediately when this Agreement is terminated.

6. Term and Termination

This Agreement is "at-will." Either party may terminate this Agreement at any time, for any reason, with written notice.

7. General Provisions

• Governing Law: This Agreement is governed by the laws of the State of Indiana.
• Dispute Resolution: Any dispute will first be submitted to good-faith mediation. If mediation fails, the dispute will be settled by binding arbitration in Indiana.
• Entire Agreement: This Agreement is the entire agreement between us regarding sales and referrals, and it supersedes all prior communications.
